This service agreement is entered into between the Client and JANASETU UDYOG PRIVATE LIMITED (CIN: U47912AS2026PTC031029), having its registered office at House No 9, Shiv Mandir Lane, Nandanpur, Guwahati – 781005, Assam, operating the platform xohai.in.
1. Commencement & Trial Review Window
- Agreement Commencement (Clause 1): The service arrangement begins on the date the bilateral Caregiver Client Agreement is signed and the assigned personnel is placed at the Client's residence.
- 5-Day Observation Window (Clause 2): The Client is encouraged to communicate any feedback or concerns regarding the Caregiver within five (05) days from when the Caregiver assumes charge. If a replacement is requested within this period, the Company will arrange a replacement within 48 hours, subject to availability.
2. Non-Medical Nature of Service (Clauses 3 & 7)
The Client explicitly understands and agrees that Xohai provides non-clinical caregiving and domestic assistance. Our caregivers are not registered medical nurses and are not authorized to prescribe drugs, make clinical diagnoses, administer intravenous (IV) injections, or operate invasive life-support machinery.
Before the Caregiver assumes charge, the Client agrees to provide all relevant medical routines, prescribed oral medications, and assistive device protocols recommended by the patient's registered medical practitioner (Clause 3).
3. Scope of Allowed Duties vs Prohibited Tasks (Clause 7)
To ensure transparent service and caregiver safety, the scope of engagement is defined strictly as follows:

4. Client Obligations: Meals, Rest & Accommodation (Clauses 8 – 10)
- Dietary Care (Clause 8): The Client agrees to make reasonable efforts to provide safe, wholesome food suitable for the caregiver's health and personal beliefs.
- 8-Hour Shift (Clause 9a): The Client must provide meals (Breakfast + Lunch or Lunch + Dinner as per shift). If meals cannot be provided, a meal allowance of ₹250/- per day will be billed.
- 24-Hour Shift (Clause 9b): The Client must provide accommodation (proper bed and secure storage for clothes/hygiene items) along with 3 daily meals. If meals cannot be provided, a meal charge of ₹400/- per day will be billed.
- Mandatory Daily Rest (Clause 10): For 24-hour live-in engagements, the Client agrees to allow a mandatory rest/sleep period of at least 7 to 8 hours per day to safeguard the caregiver's health and dignity.
5. Caregiver Safety, Dignity & Zero Harassment (Clauses 11 – 13)
- Site Safety (Clause 11): The comprehensive safety and security of the caregiver during their posting at the client’s site lies solely with the Client and their family representatives.
- Zero Tolerance for Abuse (Clause 12): The Client shall ensure that the caregiver is never subjected to physical, mental, or sexual harassment, abuse, intimidation, or exploitation. Any violation will result in immediate termination of services and prosecution under the Indian Penal Code and applicable labour laws.
- Incident Reporting & No-Refund Clause (Clause 13): Where termination occurs due to client misconduct or harassment, the Client shall forfeit all fees and shall not be entitled to any refund.
6. Prohibition of Direct Financial Transactions (Clause 14)
The Client explicitly agrees never to engage in direct personal financial transactions, lending, borrowing, or sharing of bank account/UPI credentials with assigned caregivers. Janasetu Udyog Pvt Ltd shall not be held liable for any personal financial dealings between the Client and staff.
7. Payment Schedule, Fees & Delays (Clauses 4 – 6)
- Registration Fee: A one-time non-refundable registration fee of ₹500/- is payable at the time of profile processing.
- Monthly Fee: Monthly service charges are payable in full in advance commencing from the date of deployment.
- Late Fee Penalty: In case of delayed payment, an administrative surcharge of ₹100/- per day will be levied. The maximum allowable delay is 10 days, after which services are automatically cancelled.
8. Termination & Cancellation Policy (Clauses 18 – 24)
- Notice Period: A minimum of 7 days prior notice is mandatory for voluntary termination.
- Abrupt Termination: Deducts 10 days of pro-rata service fee from any balance refund.
- Demise of Patient: Caregiver is withdrawn within 72 hours; accounts settled within 15 days.
- Company Termination: 72 hours prior notice with pro-rata refund minus ₹1,000 administrative charge.
9. Governing Law & Jurisdiction
This Agreement and all matters arising out of it shall be governed by and construed in accordance with the laws of the Republic of India. The courts of Guwahati, Assam shall have exclusive jurisdiction over any dispute or claim arising hereunder.
